Zognition Terms of Use for ZogniQ ZPL™

Governing Law: Michigan 

 1. Scope of Services 

The Platform provides registered medical professionals (“Users”) with access to the ZogniQ ZPL™ low-level laser light therapy (LLLT) device and supporting AI-driven patient analysis tools. Features include: controlled application of wellness light treatments, secure storage and management of patient records and 8K images, AI-assisted analysis through HIPAA-compliant servers, and the ZogniQ.com Doctor Login Portal for record review and management. 

2. Authorized Use 

Access is limited to licensed healthcare professionals and authorized staff. Users must comply with local medical regulations and ensure proper device operation. The ZogniQ ZPL™ device is for therapeutic and diagnostic purposes only and is not a substitute for independent medical judgment. 

3. Patient Data Privacy and Security 

Zognition stores, transmits and processes all PHI (Protected Health Information) on our HIPAA compliant systems, hosted in the United States, ensuring Confidentiality, Integrity and availability of PHI. For Confidentiality and Integrity control of the data stored and in transit, we use strong cryptographic systems such as AES 128, TLS 1.3, SHA 256, WPA3. In addition, our systems are regularly assessed by external experts, to ensure the top-level security of our systems, processes and patient’s data. To ensure patient data privacy we use de-personalization techniques aligned with the HIPAA Privacy Rule and GDPR. 

Secure transmission is ensured through Zognition-provided WPA3 Enterprise networking hardware designed to maintain HIPAA-compliant encrypted communications between the ZogniQ ZPL™ device and Zognition backend infrastructure. 

4. AI Analysis and Clinical Responsibility 

AI analysis results are advisory and intended to assist healthcare professionals. Zognition does not provide diagnoses or treatment recommendations. Clinical decisions remain solely with the licensed practitioner. 

5. Data Ownership and Access 

Users retain ownership of patient records. By using the Platform, Users grant Zognition a limited license to store, process, and analyze data for operational and AI-model improvement. Users may request export or deletion of patient data by contacting support@zognition.com. 

6. Device and Software Updates 

Devices and software may receive automatic firmware or AI model updates. Users agree to maintain systems with the most recent updates provided by Zognition. 

7. Limitation of Liability 

Zognition and its affiliates disclaim all warranties, express or implied. Zognition shall not be liable for indirect or consequential damages arising from use of the device or Platform. Total aggregate liability shall not exceed the amount paid by the User in the twelve (12) months preceding the claim. 

8. Compliance and Audit 

Users must comply with all applicable HIPAA, FDA, and medical device regulations. Zognition may audit account usage for compliance and data integrity. Unauthorized modification or reverse engineering is prohibited. 

9. Termination 

Zognition may suspend or terminate access for violation of these Terms or applicable law. Upon termination, patient record retention and lawful data handling obligations remain in effect. 

10. Governing Law 

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Disputes shall be resolved exclusively in Michigan state or federal courts.

12. Secure Network Access & Zognition-Provided WPA3 Access Point 

12.1 Provision of Secure Access Point 

For purposes of secure connectivity to Zognition’s HIPAA-compliant backend systems, Zognition may provide Users with a pre-configured WPA3 Enterprise-grade wireless access point (“Zognition Secure Access Point” or “ZSAP”). The ZSAP is configured to: 

  • Enforce WPA3-Enterprise encryption standards 
  • Utilize AES-256 encryption protocols 
  • Enable secure VPN tunneling and/or encrypted TLS 1.2+ communication 
  • Restrict unauthorized network access 
  • Segment ZogniQ ZPL™ device traffic from general clinic network traffic 
  • Support HIPAA-compliant transmission safeguards 

The ZSAP is intended solely for use with the ZogniQ ZPL™ device and associated Zognition backend systems. 

12.2 Required Use 

Where provided, the Zognition Secure Access Point must be used for all transmissions between the ZogniQ ZPL™ device and Zognition’s cloud infrastructure. 

Users agree: 

  • Not to bypass, reconfigure, disable, or replace the ZSAP without written authorization from Zognition 
  • Not to connect the ZogniQ device to unsecured, public, or non-segmented networks 
  • To ensure physical security of the ZSAP within the clinic premises 
  • To prevent unauthorized credential access 

Failure to use the ZSAP as directed may void certain security representations and may shift cybersecurity liability to the User. 

12.3 Clinic Network Responsibilities 

The User remains responsible for: 

  • Maintaining a secure upstream internet connection 
  • Implementing appropriate firewall protections 
  • Preventing unauthorized access to clinic IT infrastructure 
  • Ensuring compliance with HIPAA administrative and physical safeguards 

Zognition is not responsible for breaches resulting from the User’s local network vulnerabilities outside of the ZSAP configuration. 

12.4 Remote Monitoring and Security Updates 

The Zognition Secure Access Point may receive: 

  • Software updates 
  • Security patches 
  • Firmware updates 
  • Remote configuration adjustments 
  • Intrusion detection updates 
  • Digital Annual Service (DAS) testing and monitoring protocols    

Users consent to remote security maintenance necessary to preserve HIPAA compliance and system integrity. 

Zognition will not access patient clinical data through the ZSAP except as required for secure transmission. 

12.5 Ownership and Return 

Unless otherwise agreed in writing: 

  • The ZSAP remains the property of Zognition 
  • Upon termination of services, the User must return the ZSAP within thirty (30) days 
  • Failure to return may result in replacement charges 

12.6 Cybersecurity Disclaimer 

While Zognition implements commercially reasonable and industry-standard safeguards consistent with HIPAA Security Rule requirements, no system can guarantee absolute security. 

Zognition shall not be liable for cybersecurity incidents arising from: 

  • User modifications to the ZSAP 
  • Unauthorized third-party interference within the User’s internal network 
  • Internet service provider vulnerabilities 
  • Force majeure cyber events 

12.7 HIPAA Alignment 

The Zognition Secure Access Point is part of Zognition’s technical safeguard strategy under: 

  • 45 CFR §164.312 (Technical Safeguards) 
  • Encryption and transmission security requirements 
  • Access control and audit control mechanisms 

Users acknowledge that proper use of the ZSAP is a material component of HIPAA-compliant operation of the ZogniQ ZPL™ system.
